Gen1 '05 to a gen2 '06? Worth it or not?

I can understand not making a jump from a Gen 1 to the first year Gen II. So what are the must have improvements of the Gen III over the previous generations? Is it that is has factory cruise control and heated grips. What else makes a Gen III so much better?

My 06 Gen 2 has been a fantastic bike,60K miles so far, my chums 05 is a nut roaster and needed a new head,a number of 05's had a valve guide issue requiring cyl head replacement.

I highly recommend a Gen 2
